Terms of Service

1. Acceptance of Terms

By accessing or using justonce.ai (the "Service"), operated by Bluesoul Technology Pty Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Bluesoul Technology Pty Ltd. Please read them carefully before using the Service.

2. Description of Service

justonce.ai is a knowledge management service that provides a persistent, intelligent memory layer for individuals and teams. The Service allows you to store, organise, search, and retrieve knowledge — including documents, notes, emails, and other content — using AI-powered categorisation, semantic search, and smart memory features, and to share selected content with other users through shared spaces.

3. Account Registration

To use the Service, you must create an account through our authentication provider, Auth0. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security of your account credentials and not share them with any third party
• Immediately notify us of any unauthorised use of your account or any other breach of security
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

The Service may be used for personal, household, and business purposes. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on that organisation’s behalf, and “you” includes that organisation. You are responsible for the conduct of anyone you invite into a shared space you own, and for ensuring you have the right to store any third-party information you add.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload, store, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Interfere with, disrupt, or place an undue burden on the Service or its underlying infrastructure
• Use automated scripts, bots, or other means to access the Service without our prior written consent
• Resell, sublicence, white-label, or otherwise make the Service available to third parties as a service of your own, without our express written permission. Using the Service to run your own business, or sharing a space with your colleagues, clients, or contractors, is permitted and is not resale.

5. Intellectual Property

The Service, including its design, features, code, algorithms, documentation, and branding, is owned by Bluesoul Technology Pty Ltd and is protected by Australian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

All trademarks, service marks, and trade names associated with the Service are the property of Bluesoul Technology Pty Ltd.

6. Your Data

You retain full ownership of your data. Any content you upload, store, or create through the Service ("Your Data") remains yours. We do not claim any ownership rights over Your Data.

By using the Service, you grant us a limited, non-exclusive licence to process, store, and transmit Your Data solely for the purpose of providing and improving the Service. This includes AI-powered categorisation, indexing, and search functionality.

Upon your request, we will delete Your Data from our systems. See our Privacy Policy for more details on how we handle your information.

7. Privacy Shield

The Service includes a Privacy Shield feature that automatically detects and encrypts personally identifiable information (PII) within Your Data. For full details on how PII is handled, encrypted, and stored, please refer to our Privacy Policy.

8. Subscription and Payment

The Service is available under a free tier with limited features and storage. Paid subscription tiers offer additional features, storage, and capabilities.

• Billing: Paid subscriptions are billed in advance on a monthly or annual basis through our third-party payment processor. All fees are quoted in United States Dollars (USD) unless otherwise stated. Prices shown to Australian customers are inclusive of GST.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Refund Policy: New paid subscriptions are covered by our 30-day fair-use guarantee. If you contact us within 30 days of your initial payment and have used a quarter or less of your first month's allowance, we will refund your payment in full. If you have used more, we will provide a pro-rata refund net of your usage. The guarantee applies once per customer. Add-on packs are refundable only before redemption begins.
• Price Changes: We may change subscription prices from time to time. We will provide you with at least 30 days' notice of any price increase.

9. Service Availability

We use reasonable efforts to ensure the Service is available and reliable. However, we do not guarantee 100% uptime or uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will endeavour to provide advance notice)
• Emergency maintenance or security patches
• Factors beyond our reasonable control, including third-party outages

We are not liable for any loss or damage arising from the unavailability of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Bluesoul Technology Pty Ltd and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service
• Loss of data, profits, revenue, business opportunities, or goodwill
• Any damages arising from interruption, suspension, or termination of the Service

Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Australian consumer law.

11. Termination

Either party may terminate this agreement at any time:

• By you: You may close your account at any time through your account settings or by contacting us.
• By us: We may suspend or terminate your access to the Service if you breach these Terms, or for any other reason with reasonable notice.

Upon termination, we will retain Your Data for 30 days to allow you to export it. After this 30-day period, Your Data will be permanently deleted from our systems unless we are required to retain it by law.

Sections relating to Intellectual Property, Limitation of Liability, Governing Law, and any other provisions that by their nature should survive, will survive termination of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Nothing in these Terms affects your rights as a consumer under Australian Consumer Law.

13. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you via email at the address associated with your account at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service and close your account.
